Terms of Service
Last updated: October 6, 2026
These terms govern services provided by Coastal Web Designs, LLC ("Coastal," "we," "us") to businesses and individuals in the United States. Services include website design and development, hosting, search engine optimization (SEO), logo design, and other services agreed in writing.
We provide these terms before payment. By paying your first invoice after receiving these terms, you accept them and the service scope stated in your accepted quote or invoice. You must be at least 18 and authorized to enter into the agreement for yourself or your organization. A separately signed agreement controls where it conflicts with these terms; these terms do not retroactively change an existing signed agreement.
1. Scope and cooperation
Your accepted package, quote, invoice, or statement of work identifies the services, deliverables, and fees. Work not included in that scope requires a separate written agreement. Other services may be provided under an agreed written scope and applicable supplemental terms.
You must provide accurate information, lawful materials, required account access, and timely approvals. Respond to actionable requests for access, questionnaires, content clarification, images, or other necessary information within one business day, excluding weekends and US federal holidays. We will act reasonably and identify material blockers in writing with an opportunity to resolve them. Client delays may affect delivery schedules. They do not automatically pause SEO billing or the guarantee evaluation period.
Specialized regulatory compliance, sensitive-data handling, accessibility certification, legal advice, and trademark clearance are not included unless expressly agreed in writing. Do not send sensitive regulated information through ordinary project forms or email without an agreed handling arrangement.
2. Payments and overdue accounts
Fees and payment schedules are disclosed before purchase. Website subscription invoices are due on the first of each month after the initial payment. The initial payment is the full monthly fee even if development starts mid-month; it is not prorated. This initial partial billing period and the minimum-term end date will be identified before acceptance. SEO and other services follow their stated invoice schedules.
Overdue invoices have a seven-calendar-day grace period, followed by a $25 late fee where permitted by law. We will send a written suspension warning allowing seven additional calendar days to cure. Unresolved nonpayment may result in suspension, followed by termination after a further fourteen calendar days without resolution.
Termination for nonpayment during the initial website term may trigger the early-termination charge described below. We will not double-count the same subscription obligation in unpaid charges and the early-termination calculation. Other separately owed service charges remain payable.
3. Website subscriptions and purchases
Subscription websites are leased
A subscription website is licensed for use while your subscription remains active and paid. Coastal retains ownership of its website design and source code. Payments do not purchase the website or transfer ownership, even after many years.
The minimum commitment begins when you approve the design in writing and development starts, and lasts twelve calendar months. Your exact start and end dates will be stated in writing. After that term, service continues month-to-month until canceled.
If you terminate early, the exit charge is the greater of $0 or $3,800 minus qualifying base website subscription fees already paid. SEO fees, logo fees, separately purchased work, taxes, and late fees do not reduce that amount. This charge releases the remaining minimum commitment; it does not purchase the website or grant source-file rights.
Submit cancellation in writing by email. After the minimum term, no early-exit charge applies. The website remains live through the paid billing period and is then taken offline. Ordinary partial-period refunds are not provided. Cancellation takes down the entire leased website, including its pages, but does not transfer ownership of your domain or client-owned materials to Coastal.
Purchased websites
Lump-sum websites are custom-priced separately. After full payment, you own the original website work purchased under the agreed scope. Third-party software, fonts, stock assets, and pre-existing reusable components remain subject to their applicable licenses rather than becoming your exclusive property.
If you host elsewhere, we provide the purchased assets, source files, and deployment instructions. If we host your purchased website, we manage hosting and provide those files on request. Hosting, maintenance, and additional work are separately scoped and priced. Ending hosting does not revoke ownership of your purchased website.
You retain ownership of your domain and supplied materials. We will release domain control and client-owned materials upon request, subject to reasonable identity verification.
4. Design approval and edits
We work through a reasonable initial design revision process without a fixed revision-round cap. Before written design approval and development starts, you may request a refund of website payments and end the proposed website engagement without an early-exit charge. After development starts, ordinary change-of-mind website refunds are unavailable, subject to express promises and remedies required by law.
Unlimited content edits cover changes to existing website content, such as replacing an image or updating a phone number. They do not include new sections, new pages, redesigns, or new functionality. Allow up to seven business days for ordinary content edits after we receive complete instructions and necessary assets. Exceptional requests or external blockers may require a separately communicated schedule.
Your purchased tier controls included pages and integrations. Basic includes up to five pages; Growth includes up to ten initial pages, one integration, and qualifying service pages; Ultimate includes fifteen or more scoped initial pages, two integrations, and qualifying service, landing, and location pages. Qualifying included pages are additional to the initial page allocation, with their count and scope agreed in writing. Included pages are not subject to a blanket $100 per-page fee. Work outside package inclusions is separately quoted before it begins.
Support requests may be submitted at any time. “24/7 support” does not promise an immediate response or completion at every hour.
5. SEO and initial refund guarantee
SEO is a separate month-to-month service. The standard initial price is $900 per month for three months, followed by $1,200 per month unless your accepted quote states otherwise. You may cancel before the next billing date. Website subscription fees and commitments are separate.
Eligibility and evaluation period
The initial guarantee applies to the standard full SEO service, not website subscriptions or other services. For custom SEO, the accepted quote states the initial price, evaluation duration, measurements, and refundable amount; the following three-month rules apply unless expressly varied before payment.
We collect the first SEO payment only when the website is live and tracking is ready. The evaluation lasts 90 consecutive days from that first payment and requires three fully paid monthly installments. Clients who cancel before completing that period do not qualify. Billing and the evaluation clock do not pause automatically for client delays.
What counts as improvement
The guarantee is satisfied if either one agreed tracked keyword improves by at least one ranking position or the agreed Google Business Profile (GBP) average grid ranking improves. One keyword improving is sufficient even if other keywords decline. This is not a promise of more traffic, leads, revenue, top-three placement, or improvement in every keyword.
Coastal selects relevant non-branded keywords before kickoff, considering client requests, and documents the agreed tracking plan. Keyword.com comparisons use seven-day average rankings at baseline and at the end of the evaluation. Whitespark compares average grid ranking with consistent keywords, locations, grid settings, and documented treatment of unranked points. Google Search Console supplies supporting search-volume data but does not independently determine guarantee eligibility.
A genuinely unranked keyword entering the tracking tool's measurable range counts as improvement. Missing data or tracking failures alone do not establish an unranked baseline or prove improvement. We share the baseline, measurement plan, and final report. Ordinary algorithm changes and competition do not automatically disqualify claims. Material external measurement interruptions will be addressed in writing; an extension requires agreement rather than an indefinite unilateral delay.
Requesting a refund
If neither qualifying measure improves, email us a written refund request within ten calendar days after delivery of the final evaluation report, no earlier than the end of the evaluation period. Refunds are not automatic. We will approve or deny a claim with supporting measurement evidence within ten business days. Approved refunds are returned as money within 90 calendar days after receipt of the valid claim, not solely as future-service credit.
The refund covers only qualifying SEO fees actually paid for the initial evaluation period: normally $2,700, or the agreed initial custom SEO amount. It excludes website payments, logo fees, and unrelated services or third-party charges.
A claim does not automatically cancel SEO. You may continue into month four and beyond at the agreed ongoing price while retaining eligibility for the initial-period refund. There is no repeat guarantee or ordinary results-based refund for later periods.
6. Logo design
Logo projects require 50% upfront, with the remaining balance payable before final asset delivery. Your package specifies concepts, deliverable formats, and revisions. Standard packages include three revision rounds; a round is one consolidated feedback request. Additional rounds or changes outside scope are quoted before work begins.
Ordinary cancellation or change-of-mind refunds are not provided for logo projects. This does not eliminate remedies required by law or for failure to deliver the agreed services.
After final payment and delivery, we assign to you our copyright in the original final approved logo artwork. Unused concepts and pre-existing tools remain ours. Any separately licensed fonts or other identified third-party materials remain governed by their licenses. You are responsible for trademark searches, clearance, and registration; original artwork does not guarantee trademark availability.
7. Materials, confidentiality, and portfolio use
You retain ownership of materials you supply and authorize us to use them to perform the agreed services. You must have the necessary rights and permissions. After payment, original copy and content commissioned through the separate SEO service belong to you and may be requested for use elsewhere; this does not transfer leased website code or design.
We protect nonpublic project information with reasonable care and use it for service delivery. Access may be shared with personnel or service providers who need it, subject to appropriate confidentiality obligations, or as required by law. Our Privacy Policy describes personal-data practices.
We may display publicly released completed work, screenshots, logos, and client names in our portfolio and marketing unless you request confidentiality in writing. We do not publish private account information or confidential unpublished materials.
8. Termination
Coastal may notify you that services will end at the close of the current paid billing period without requiring thirty days' advance notice. We will complete agreed work for that period. If we terminate without your breach, no client early-exit charge applies and prepaid fees for unused future periods are refunded.
Serious security threats or unlawful activity may require immediate suspension. Ordinary material breaches are addressed through written notice and a reasonable opportunity to cure; overdue payments follow the timeline above. At termination, leased sites are taken offline, access licenses end, and outstanding lawful charges remain due. Client-owned domains and materials remain yours.
9. Disclaimers and liability
Except for express commitments in your agreement, services are provided as available without implied warranties to the extent permitted by law. We do not guarantee uninterrupted hosting, immunity from security incidents, or third-party platform availability. We are not responsible for changes or failures of services outside our control, but remain responsible for our express obligations.
To the fullest extent permitted by applicable law, Coastal is not liable for lost profits, loss of use, business interruption, or indirect, incidental, or consequential damages arising from the services. Exclusions of direct damages apply only where legally permitted and do not override express delivery obligations, refund guarantees, or liabilities that cannot lawfully be excluded. Nothing excludes liability for fraud, gross negligence, willful misconduct, or other conduct where exclusion is prohibited by law.
Delays beyond our reasonable control may affect schedules. Client or third-party modifications can affect functionality and the scope of support, but do not automatically erase unrelated obligations. You are responsible for the legality and accuracy of supplied content and for maintaining appropriate copies of your own materials.
You may not use our website or services for unlawful activity, infringement, impersonation, unauthorized access, spam, or disruption of systems.
10. Disputes and general terms
Florida law governs, subject to mandatory applicable protections. Parties will first attempt to resolve disputes in good faith for thirty days after written notice. Unresolved disputes concerning the agreement will be submitted to binding arbitration administered by the American Arbitration Association under its applicable rules in Pinellas County, Florida, except where applicable law or mandatory rules provide otherwise.
Arbitration expenses are shared equally only to the extent permitted by applicable law and AAA rules, including applicable consumer rules. An award may be entered in a court with jurisdiction. Courts in Pinellas County, Florida are the agreed venue for permitted court proceedings, subject to mandatory law. Recoverable enforcement costs and reasonable attorneys' fees follow the signed agreement and applicable law.
Notices may be delivered by email. These terms and your accepted service scope form the agreement, subject to any controlling signed contract. We operate as an independent contractor, not your employee, partner, or agent. An unenforceable provision does not invalidate the remaining terms, and failure to enforce a provision is not a waiver.
We may update these terms for future engagements. Updates do not retroactively change accepted agreements; material changes to an existing engagement require agreement in writing. Obligations concerning unpaid fees, ownership, confidentiality, and dispute resolution survive termination where applicable.
